Article I - Membership
Section 1
Members consist of associations
that are in good standing with Washington State Youth Soccer Association
(WSYSA) and that are located in the geographic area designated
as District III.
Section 2
The following associations are members of District III as approved by WSYSA:
- Auburn Youth Soccer Association (AYSA)
- Federal Way Soccer Association (FWSA)
- Highline Soccer Association (HSA)
- Kent Youth Soccer Association (KYSA)
- Mount Rainier Soccer Association (MRSA)
- Greater Renton Junior Soccer Association (GRJSA)
- Tacoma-Pierce County Junior Soccer Association (TPCJSA)
- Narrows Youth Soccer Association (NarYSA)
- Maple Valley Soccer Association (MpVSA)
Article II - Council
Section 1
The Council is composed of the Executive Board and
the Board of Directors. Responsibilities and authority shall include,
but not be limited to, the actions shown in Section 2 below.
Section 2
The Council shall vote on the following matters:
- District III Player and/or team fees.
- District III budget and supplemental budget items.
- Proposed changes or amendments to the District III Constitution.
- Proposed changes or amendments to the District III Bylaws.
- Proposed changes or amendments to the District III operating procedures.
- Proposed changes or amendments to the District III Other Governing Documents.
- Election of the Executive Board (Officers) at the Annual General Meetings.
- Filling vacancies on the Executive Board.
- Removal of Officers based on detrimental actions or neglect of
accepted responsibilities.
- Other general business of District III as required.
Section 3
The Council shall meet as set forth in Article VI herein.
Section 4
The Council shall vote as set forth in Article VII herein.
Article III - Executive Board
Section 1
The Executive Board (officers) of District III shall consist of the following: Commissioner(President)
First Vice President of Administration
Second Vice President of Administration
Vice President of Competition
Vice President of Development
Treasurer
Secretary
Section 2The Executive Board shall
be responsible for conducting the business and administering the
affairs of District III to include, but not be limited to, the following:
- Enforcing the Constitution, Bylaws, procedures, and rules of the District and WSYSA.
- Approval of formation and operation of all District III tournaments, except such tournaments conducted by Member Associations for their membership.
- Strategic Planning.
- Recommendations to the Board of Directors for suspension or removal of District III Officers.
- Approval of intra and inter-district play.
- Approval or removal of District III Committee Directors.
- Review and make recommendations on matters to be submitted to the Board of Directors.
Section 3
The Executive Board shall meet as set forth in Bylaw Article VI herein.
Section 4
The Executive Board shall vote as set forth in Article VII herein.
Section 5
The Officers of the District (Executive Board) shall be elected at the Annual
General Meeting (AGM) by the voting membership of the District Council as follows:
- Commissioner, the Second Vice President of Administration, Vice President of Development and the Secretary will be elected in odd numbered years for a period of two (2) successive years.
- The First Vice-President of Administration, Vice-President of Development, and the Treasurer will be elected in even numbered years for a period of two (2) successive years.
- In the event any offices are vacated the Council will elect replacements
for the remainder of the respective term.
- Any officer absent without cause for three (3) consecutive Executive Board or
District Council meetings or being negligent in duties to the District
shall be subject to suspension or removal by the Council.
- The Commissioner may not simultaneously be an
officer of any member Association or Club.
Section 6 - Duties of Officers
- Commissioner-President - The Commissioner
shall supervise all activities of District III; the work of the
Executive Board and Board of Directors, and shall serve as Chairperson
of District III and shall chair all District III meetings. The duties of the Commissioner shall also
include, but not be limited to, the following:
- Act as the District Commissioner to WSYSA, which duty may
be delegated, subject to approval of the Council.
- Act as the general representative of District III in all matters, particularly as regards public relations.
- Appoint standing and/or special committees
and Directors thereof, as the needs of District III may indicate,
subject to the approval of the Executive Board.
- The Commissioner or designated person may attend one of
the yearly USYS National Workshop and Coaches Convention meetings. Expenses to be budgeted.
- Submit written report to the District III Secretary one week prior to the monthly meeting.
- Submit annual report to District III Secretary by January 15th of each year, this duty may be delegated.
- Submit "Of the year" reports to WSYSA by January 1st of each year; This may be delegated.
- Sign orders of the treasury.
- First Vice-President of Administration - The First-Vice President shall
assist the Commissioner in all business of the District, become the
acting President during any temporary absence of the President,
and succeed to the Presidency if that office becomes vacant for
any reason. The duties of the First vice-president shall also
include, but not be limited to, the following:
- Represent District III as the Alternate District Commissioner, as needed.
- Represent District III at any WSYSA meetings.
- Provide planning to further District III growth and development.
- Provide coordination for field development with member associations and WSYSA.
- Publicity
- Protests
- Appeals
- Boundaries
- Website
- The First Vice-President or designated person may attend the USYS National Workshop and Coaches Convention. Expenses to be budgeted.
- Submit monthly report to the District III Secretary one week prior to the board meeting.
- Sign orders on the treasury.
- Submit annual report to the District III Secretary by January 15th of each year.
- Second Vice-President - The Second Vice-President shall assist the Commissioner and First-Vice President in all
business of the District and become the acting President during any temporary absence of the President and First Vice-President. The duties of the Second Vice-President shall also include, but not limited to, the following:
- Represent District III as the Alternate District Commissioner, as needed.
- Represent District III at any WSYSA meeting as assigned.
- Disciplinary Committee.
- Ethics Committee.
- Review District III Constitution, Bylaws, and Operating Procedures and make recommendations to keep them current with WSYSA.
- The Second Vice-President or designated person may attend the USYSA National Workshop and Coaches Convention. Expenses to be budgeted.
- Submit monthly report to the District III Secretary one week prior to the Council meeting.
- Submit annual report to the District III Secretary by January 15 of each year.
- Sign orders on the treasury.
- Vice-President of Competition - The duties of Vice-President
of Competition shall include, but not be limited to, the following:
- Organize, conduct and approve all District III tournaments.
- Organize and administer all District III league competitions, this may be delegated.
- Attend to and be custodian of all District III trophies.
- Represent District III at WSYSA competition meetings, this may be delegated.
- Organize and distribute player cards for all District III players as required by the Council.
- Submit monthly report to the District III Secretary one week prior to the Council meeting.
- Submit annual report to the District III Secretary by January 15th of each year.
- Sign orders of the treasury.
- Organize a recognition night for all 1st and 2nd place teams in District III, (if the Council chooses to have a recognition night).
- The Vice-President or designated person may attend one of the yearly USYS National Workshop and Coaches Convention meetings. Expenses to be budgeted.
- Vice-President of Development - The duties of the Vice-President of Development shall include but not be limited to, the following:
- Player development
- Coaches development
- Referee Development
- Recreation Developmant
- TOPSoccer
- Submit annual report to the District III Secretary by January 15th of each year.
- Submit monthly report to the District III Secretary one week prior to the board meeting.
- The Vice-President or designated person may attend one of
the yearly USYS National Workshop and Coaches Convention meetings. Expenses to be budgeted.
- Secretary - The duties of the Secretary shall include but not be limited to, the following:
- Record and publish all minutes in a timely fashion.
- Act as custodian of all assets and correspondence.
- Provide proper notice of all District III meetings to required attendees.
- Compile and publish the District III Directory and Annual report.
- Forward by-laws changes and financial reports to WSYSA annually.
- Be responsible to publish District III Newsletter.
- Send to MARs the monthly reports provided by the District III Board of Directors
one week prior to the monthly Council meeting.
- Submit annual report to Executive Board officers by January 5th.
- The Secretary may attend one of the yearly USYS National Workshop and Coaches Convention meetings. Expenses to be budgeted.
- Treasurer - The duties of the Treasurer shall include
but not be limited to, the following.
- Deposit all Monies of the District in a chartered bank in the name of
District III.
- Provide properly authorized disbursements of District in a chartered bank in the name of District III.
- Keep the proper accounting on all items.
- Prepare financial reports on a monthly financial statement to the Council.
- Prepare and oversee a proposed budget for each fiscal year.
- Get proper bonding for appropriate board members.
- Insurance.
- Submit monthly report to the District III Secretary one week prior to the board meeting.
- The Treasurer may attend one of the yearly USYS National Workshop and Coaches Convention meetings. Expenses to be budgeted.
Article IV - Board of Directors
Section 1
The Board of Directors shall consist of one (1) representative or alternate from each member association who will represent his/her association and act for that association at all Council meetings.
- Names, phone numbers and addresses of representatives as well as changes thereto must be submitted to the District III Secretary in writing as soon as they become effective.
Section 2
The Member Association Representative (MAR) or alternate shall attend all District III Council meetings for discussion and voting on all matters shown in Article II, Section 2 herein. The members of the Board of Directors should be knowledgeable of the feelings and policies of their membership, with voting based on this knowledge, voting shall be accomplished as shown in Article VII, Section 1, herein. The MAR of record shall be the voting representative of the Association.
Section 3
Any Member Association Representative (MAR) or alternate absent without cause from three (3) consecutive meetings of the Council and/or found to be negligent in duties of the District shall be subject to suspension or removal by the Council. The Member Association will be notified of such action in writing and will be required to appoint a new representative. If an association fails to comply with above request the District may deem the Association in bad standing and will then remit a letter stating such to WSYSA members.
Article V - Finances
Section 1
The fiscal year of District III shall be 12:01 a.m. January 1st and end 11:59 December 31st of each year.
Section 2
The Treasure, with the support of the District III Executive Board, shall prepare a proposed budget for the next fiscal year. The proposed budget shall be submitted to the Council at least 30 days prior to the AGM.
- The budget shall be limited for any given year to expected income for that year plus the amount of funds carried over from the previous year.
Section 3
- Each member association will be assessed a fee
based upon the number of registered players as reflected in WSYSA records.
- Each team participating in District III League play will be assessed a League fee, to be determined by the Council at the annual Genneral Meeting.
Section 4
The financial books and accounts of District III, maintained by the Treasurer, shall be audited by an Audit Committee after the end of each fiscal year. No member of the Council shall serve on this committee. The report shall be submitted to the Council not later than March 1st of the year following the end of each fiscal year.
Section 5
At least one month prior to the annual general meeting, the Treasurer will prepare a statement of income and disbursements of funds of the past fiscal year. A copy of this statement shall be distributed to members of the Council one week prior to the AGM.
Section 6
Should District III soccer be dissolved, all monetary assets
after payment of all debts shall be turned over to any remaining
member associations which have qualified under Section 501 (C)
(3) of the U.S. Internal Revenue Code, and shall be divided proportionally
to the number of registered players, physical assets shall be held
in trust by remaining member associations.
Article VI - Meetings
Section 1
The District III Annual General Meeting (AGM) shall take place before the WSYSA AGM of each year. Notification of this meeting shall be provided to members of the Council thirty (30) days prior to the AGM date.
Section 2
All Member Associations, members of the Executive Board, District III Committee Directors, and members of the Board of Directors shall submit an annual report covering their respective activities no later than January 15th or as requested by the District III Secretary, for inclusion in the Annual Report.
Section 3
The Council will meet a minimum of eight (8) times per year to conduct business outlined in Bylaw Article II Council, herein.
Regular minutes will be prepared and published. Special meetings may be called as required by the President, half (½) of the Executive Board, or one half (½) of the Council. Reasonable notice of all meetings will be provided.

Section 4
The District III Executive Board will meet as required to conduct the business outlined in Bylaw Article III Executive Board, herein. Special meetings may be called as required by the President, or by two (2) or more Officers. Reasonable notice of all meetings will be provided.
Section 5

Article VII - Meeting and Quorum
Section 1Voting

- Voting on the issues listed below shall be conducted
as follows:
Each Member Association Representative shall have a maximum of 7 votes.

Each Executive Board member shall cast one (1) vote. A two-third (2/3) majority of votes cast is required for passage of:
Constitution amendments, Bylaw amendments, removal of District Officers, removal of Member Association Representatives and the budget.
- Voting on all other issues shall be conducted as follows:
Each Executive Board Mamber shall cast one (1) vote
Each Member Association Representative shall cast one (1) vote
A simple majority of the votes cast is required for passage.
- Executive Board Meetings
- Executive officers shall cast one (1) vote. A simple majority of the votes cast is required for passage.
- The President, at all district meetings, may exercise
his/her vote only in case of a tie.
Section 2
Quorum
- Council meetings
A quorum for all Council meetings shall
consist of at least three (3) Executive officers, and one half (1/2) of the Member Association Representatives.
- Executive Board meetings
A quorum for all Executive Board meetings shall consist of at least the
President, and three (3) additional officers.
Article VIII - Committees
Section 1
Committees shall be established, as required, to satisfy the programs and needs of District III. Committees will act to provide orderly and timely implementation of the duties and responsibilities defined for that committee. The President shall be an ex-officio member of all committees except the Nominating Committee.
Section 2
The Executive Board shall confirm committee directors annually. In the event that the responsible District officer fails to submit a name for approval the President shall appoint the Director of each committee subject to the approval of the Executive Board. The Executive Board may also remove committee directors.
Section 3
The budget for each committee shall be included in the District budget under the department of the Executive Board officer responsible for the committee.
Section 4
Special Committees may be formed as deemed appropriate by the Executive Board for the purpose of accomplishing specific tasks.
Section 5
Submit monthly reports two weeks prior to meeting to respective Executive Board officers.
Section 6
Submit annual reports to Executive Board officer by Jan. 5th.
Section 7
The following Committees of this District shall be recognized as Standing Committees;
- the Appeals Committee
- the Rules Committee
- the Disciplinary Committee
- the Ethics Committee
Article IX - Disciplinary Authorities
Section 1 Executive Board
The District III Executive Board shall have the power to penalize any Member Association,
player, coach, parent or member thereof whose actions have willfully violated the Bylaws,
or Operating Procedures of the District or are detrimental to the purposes of the District.
Penalties may consist of warnings, temporary or permanent exclusion from he activities of the District.
Section 2 Appeals Committee
The District III Executive Board shall establish a District III Appeals Committee which will be
responsible for considering and determining all appeals pertaining to District III Bylaws,
Operating Procedures and other rules, regulations, and policies. It shall be responsible for
considering and determining directly all protests and other hearings arising out of District III
administered leagues and events. In addition it will consider and determine all appeals from
lower levels. It will not consider protests or appeals it deems frivolous. Rule 602 of the WSYSA
Administrative Handbook, Bylaw 701 of the USSF, and District III Other Governing Documents
Rule 2, will be the governing documents of the District III Appeals Committee.
Section 3 Disciplinary Committee
The District III Executive Board shall establish a District III Disciplinary Committee, which will
hear misconduct reports relating to District III-administered leagues and events and have the
authority to penalize any player, coach, or person who can be identified as having an affiliation
with the team, any of whose actions have willfully violated the Bylaws, Operating Procedures,
District III-administered event rules. Penalties or further actions taken may consist of warnings,
and/or temporary or permanent exclusion from any activity associated with District III, USSF,
USYSA, and WSYSA. Rule 602 and 605 of the WSYSA Administrative Handbook, Bylaw 701
of the USSF, and District III Other Governing Documents, Rule 1 will be the governing
documents of the District III Disciplinary Committee.
Section 4 Ethics Committee
The District III Executive Board shall establish a District III Ethics Committee which will review
written allegations relating to violations of established District III, WSYSA, and USYSA codes
of ethics. It shall be responsible for administering all ethics matters arising out of District
III-administered leagues and events or those referred directly by any Member Association.
It will not hear allegations it deems frivolous. Rule 603 of the WSYSA Administrative Handbook
and District III Other Governing Documents, Rule 3 will be the governing documents of the Ethics and Grievance Committee.
Section 5 Right to Assistance
Any District III member shall have the right to assistance in responding to an allegation of misconduct or similiar charge.
Article X Operating Procedures
Section 1
The District III operating procedures, (which consist of the Operating Procedures, Other Governing Documents), shall establish District III general procedures, league regulations, rules of competition and special rules
defining District III committee functions.
Section 2
Changes and amendments shall only be effected by the District III Council Members.
Article XI - Amendments
Section 1
Proposed changes or amendments to these Bylaws can only be effected at
Council meetings.
Section 2
Such proposed changes or amendments can be made by any individual or organization member of the District in good standing and must be submitted in writing to the 2nd Vice President of Administration.
Section 3
The District III secretary shall notify each member of the Council at least thirty (30) days prior to acting upon any proposed changes or amendments, including notice of the date, time and place of the meeting at which the proposed changes or amendments will be acted upon.
Section 4
All approved Bylaw changes or amendments shall be included in the minutes.
